These Terms of Service ("Terms") govern your access to and use of the websites, products, and services (collectively, the "Service") provided by Jernigan Ventures LLC ("Company," "we," "us," or "our"), including but not limited to AutoForge AI, StealthScale AI, KOMPETIQ, and GreenVest World.

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our Service. By using the Service, you represent and warrant that you meet these requirements.

2. Account Registration

To access certain features, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

3. Service Description

AutoForge AI provides AI-powered business tools including website generation, content creation, voice agents, social media automation, course building, and related services. Our tools are powered by The Cornelius AI, which utilizes third-party AI models (including Anthropic's Claude) to process your requests.

4. AI-Powered Services

AI Output Disclaimer: Our AI-powered tools generate content based on your inputs and AI model capabilities. You acknowledge that:

AI-generated outputs may contain errors, inaccuracies, or biases
You are responsible for reviewing, editing, and verifying all AI-generated content before publishing or relying on it
We do not guarantee the accuracy, completeness, or suitability of AI-generated outputs
You are the sole owner of the content you create using our tools, subject to the underlying AI provider's terms

5. Subscription Plans and Payment

Certain features of the Service require a paid subscription. By selecting a subscription plan, you agree to pay the applicable fees as described at the time of purchase.

Billing: Subscriptions are billed monthly in advance through Stripe. You authorize us to charge your payment method on a recurring basis.
Price Changes: We may change subscription prices with 30 days' notice. Early access pricing is locked for the duration of your continuous subscription.
Taxes: Prices are exclusive of applicable taxes unless stated otherwise.

6. Cancellation and Refunds

You may cancel your subscription at any time through your account dashboard or by contacting us at cornelius@jerniganventures.com. Upon cancellation:

Your access continues until the end of your current billing period
No prorated refunds are issued for partial months
30-Day Money-Back Guarantee: New subscribers may request a full refund within 30 days of their first payment if not satisfied

7. Acceptable Use

You agree not to use the Service to:

Generate content that is illegal, harmful, threatening, abusive, or harassing
Create spam, phishing materials, or malware
Impersonate any person or entity
Violate any applicable law or regulation
Infringe on the intellectual property rights of others
Attempt to reverse engineer, decompile, or disassemble any part of the Service
Circumvent any usage limits, rate limits, or access controls
Resell API access without an Enterprise subscription authorizing such use

8. Intellectual Property

The Service, including its design, features, code, and branding, is owned by Jernigan Ventures LLC and protected by intellectual property laws. "Jernigan Ventures," "AutoForge AI," "The Cornelius AI," "StealthScale AI," "KOMPETIQ," and "GreenVest World" are trademarks of Jernigan Ventures LLC.

Content you create using our tools belongs to you, subject to the terms of our underlying AI providers. You grant us a limited license to use your content solely for the purpose of providing the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JERNIGAN VENTURES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Jernigan Ventures LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Service or violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Georgia, without regard to its conflict of law provisions. Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in Fulton County, Georgia, in accordance with the rules of the American Arbitration Association. You may opt out of arbitration by providing written notice within 30 days of first accepting these Terms.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our Sites and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
